Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you (and the organisation you represent) and WoneSuite ("WoneSuite", "we", "us") governing your access to and use of our website and the WoneSuite application (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy. If you don't agree, don't use the Service.

The Service

WoneSuite is an all-in-one business operating system provided as software-as-a-service. We may add, change or remove features to improve it. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

Eligibility & accounts

You must be at least 18 and able to form a binding contract. You're responsible for your account, for keeping credentials secure, and for all activity under it, including your users' compliance with these Terms. Notify us promptly of any unauthorised use (see Security).

Subscriptions, billing, taxes & refunds

  • Paid plans are billed in advance on a recurring basis at the price and interval shown at purchase, and renew automatically until cancelled.
  • Fees are non-refundable except where required by law.
  • We may change pricing on renewal with reasonable notice.
  • Trials, where offered, convert to paid plans unless cancelled before they end.
  • Taxes (e.g. VAT, GST/HST) may apply based on your location and are your responsibility unless stated otherwise.

Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. In short: nothing unlawful, infringing, harmful or abusive; no breaching security or accessing data that isn't yours; no reverse engineering, reselling or overburdening the Service. We may suspend accounts that violate it.

Your data & ownership

As between you and us, you own the data and content you put into WoneSuite ("Customer Data"). You grant us the limited rights needed to host and process it to provide the Service and support. We process Customer Data on your instructions as your processor; our Privacy Policy and Data Processing terms apply. You are responsible for having the rights and any consents needed for the data you upload, including about your own customers and staff.

Intellectual property

WoneSuite — including the software, design and brand — is owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may use feedback you provide to improve the Service.

Third-party services

The Service may integrate with third-party services (for example payment processors and the sub-processors we use). Your use of those services is governed by their terms, and we're not responsible for them.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. WoneSuite is a software tool and does not provide legal, financial, tax or accounting advice — see our Disclaimer.

Limitation of liability

To the maximum extent permitted by law, WoneSuite will not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue or data. Our total liability for any claim arising out of or relating to the Service is limited to the amounts you paid us in the 12 months before the claim.

Indemnification

You agree to indemnify and hold WoneSuite harmless from claims, losses and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms or applicable law.

Term, termination & data export

These Terms apply while you use the Service. You may cancel anytime; cancellation stops future billing and takes effect at the end of the current period. We may suspend or terminate access for breach or non-payment. On termination you can export your Customer Data for a reasonable period; cancelling does not immediately erase your data, and we delete it in line with our Privacy Policy and retention obligations.

Beta features & early access

We may offer beta or early-access features marked as such. They're provided "as is", may change or be withdrawn, and are excluded from any availability commitments.

Changes, governing law & contact

We may update these Terms; we'll post the new version here with a revised date and, for material changes, give additional notice. Continued use after changes take effect means you accept them.

These Terms are governed by the laws applicable at WoneSuite's principal place of business, without regard to conflict-of-laws rules, and you submit to the exclusive jurisdiction of its courts, except where mandatory local law gives you other rights. Please contact us first so we can try to resolve any dispute informally.

If any provision is unenforceable, the rest remains in effect; these Terms, with the policies they reference, are the entire agreement between us.
